Terms and Conditions

1. Purpose and scope
These Terms and Conditions govern professional services and paid access to the Exadvize platform, provided by Pro XY – Legal SAS exclusively to business customers. They may be supplemented by applicable special terms, quotations, order summaries, and contractual documents.
Where there is a conflict, the special terms or accepted commercial document for the relevant Services prevail. The applicable Terms and Conditions are the version accepted at the time of order.
2. Order, payment, and access to Services
Exadvize may offer two subscription paths. Following a demonstration or commercial discussion, Exadvize provides the applicable documents and an order summary or proposal; the Customer accepts them in writing before paid access is enabled, then pays the invoice or payment link provided.
Where an online subscription or payment path is offered, the Customer selects the offer, reviews the essential information and these Terms and Conditions, and expressly accepts them before secure payment. An abandoned or failed payment does not create paid access rights.
In either case, paid access is enabled after payment confirmation, subject to any necessary checks.
3. Subscription, pricing, and credits
Prices, taxes, duration, billing terms, and any included credits are set out in the applicable offer, quotation, order summary, or invoice. Unless otherwise stated, included entitlements and credits are allocated monthly; where multiple credits exist, those expiring first are used first.
Additional credits, when offered, are subject to the terms communicated at purchase. Exadvize has no obligation to provide automatic top-ups unless expressly agreed.
4. Usage, corrections, and end of Services
Credit usage, carryover, expiry, and correction arrangements are set out in the applicable documents. Where an Exadvize incident makes a result unusable in a case not covered by the platform’s standard workflow, Exadvize may restore credits after Customer Support has been contacted and the case has been reviewed.
Except where mandatory law provides otherwise, payments received for the relevant Services are not refundable in cash. Suspension or termination is governed by the applicable documents. Where the Customer may cancel a recurring subscription, a thirty-day notice period applies unless otherwise agreed.
5. Data, liability, and governing law
Personal data processing is governed by the Privacy Policy and, where Exadvize acts as a processor, by the applicable data protection contractual documents. The Customer remains responsible for the lawfulness, accuracy, and rights relating to submitted content.
To the extent permitted by law, Exadvize’s liability is limited to direct damages and the amount paid by the Customer for the relevant Services. These Terms and Conditions are governed by French law. The competent courts of Montpellier have jurisdiction, subject to mandatory applicable rules.
